Terms of Use.

1.1. The Wibx Platform offers consumer engagement, activation and loyalty actions, built on proprietary technology, so brands can boost their sales performance. It connects brands and consumers through referral marketing and rewards USERS in Wibx for the digital engagement actions they complete, under the rule published before each campaign. It is a multi-function engagement and rewards program, recorded on blockchain.

1.2. Wibx is a utility token that works as a loyalty, marketing and impact token: it gives access to products, services and experiences made available on the Wibx Platform and in the Wibx Hub ecosystem, a closed environment of WibxCo. It is received exclusively as a reward for a completed and confirmed action, under the rule, value and cap published before the campaign. Wibx is not an investment, is not a security, does not earn yield while held and does not guarantee financial return. WibxCo. does not sell, does not broker and does not indicate where to buy the token.

1.3. The Wibx Platform is recorded on blockchain and may allow: purchase and sale of products and services available in the ADVERTISERS’ online stores; promotion and activation of brand campaigns and promotions; provision and negotiation of differentiated, strategic and customizable media spaces; relationships with strategic audiences for launches, promotions and incentives; rewards and loyalty using Wibx; performance mapping with data cross-referencing and real-time reports. Battles will also be available, which are confrontations between USERS or characters in which each side tries to beat the other using the strategies, skills and resources available in the game, as well as trend challenges. Battles and challenges involve no betting, no paid luck and no paid randomness: the reward comes from an action performed, with rules visible before starting.

1.4. Wibx Account. It is the record, kept by the Platform, of the Wibx balance the USER received as a reward and has not yet exchanged. The USER has the right to check, at any time, the balance, the statement and the history of each movement, and to receive information about events that affect their balance.

1.5. The Wibx Platform is not an exchange: it does not buy or sell Wibx, does not broker its trading and does not indicate where to buy it. Any trading of Wibx on exchanges is a third-party activity, without the Platform’s participation, for which it is not responsible.

1.6. The Wibx Platform offers USERS an online support service, through which they have access to all the information mentioned above, among other information.

1.7. Careful reading of all information is essential to follow and check your balance and the movements made. If you cannot access any information, or see an unauthorized movement or an inaccurate balance, the USER must contact the support center.

1.8. Wibx received on the Wibx Platform is not a financial investment. No one hands money to the Platform to take part. The reward may or may not result in economic value, depending on the use the USER chooses within the program rules. The Platform does not guarantee liquidity, conversion or future value of Wibx.

1.9. The Wibx Account records exclusively Wibx received as a reward in the program. The Platform does not receive, hold or credit any other token; sending another token to an address related to the Platform creates no credit and no obligation. Wibx sent to the Wibx Platform from an external address is transferred to WibxCo in exchange for program balance, usable exclusively for exchanges for products, services and experiences.

1.10. By proceeding and using the Platform, the USER acknowledges the program rules, the technological and operational risks described in chapter 9 and the data processing described in chapter 12.

3.1. USER access. To access the Wibx Platform and use its features you must register, as an individual or legal entity. To register, you will provide personal or company information, as described in our Privacy Policy.

3.2. Legal entity user. Registration must be made by the company’s legal representative, who must provide (i) corporate name as on the CNPJ card; (ii) articles of association or bylaws, latest amendment or consolidated version; (iii) head office address; (iv) CNPJ registration number; (v) information on the individual acting as legal representative, a valid public power of attorney being accepted.

3.3. Minimum age. To use the Wibx Platform you must be at least 14 years old. Between the minimum age and 18 (eighteen) years old, registration must be assisted by the legal guardian, who takes full responsibility for the registration and for what the minor does on the Platform. Registration below the minimum age is not accepted.

3.4. Identity verification. The release of rewards and any balance movement depend on completed identity verification (KYC), under the KYC, AML/CFT and Compliance Policy. The Platform performs behavior, address and network analysis to prevent fraud and unlawful acts.

3.5. Ownership. From registration on, you will hold an account that only you may access. If the Wibx Platform detects an account created with false information, for example by someone below the minimum age, that account will be cancelled.

3.6. Keeping information up to date. You undertake to keep your information up to date, to keep your login and password secure and out of reach of third parties, and not to allow your account to be used by other people. The USER is responsible for all actions performed in their account.

3.7. Data. The data provided is processed for the purposes described in the Privacy Policy. The ADVERTISER only receives data from the USER who authorized it, for the purpose they accepted.

3.8. Connection through third parties. The Wibx Platform may offer registration through third-party service accounts such as Facebook, Google and X, among others. In that case, you authorize the Wibx Platform to access, store and use the information provided by those third parties to create your account. The Wibx Platform has no connection with those third parties and does not guarantee the products or services they provide.

3.9. Suspension. We reserve the right to suspend or cancel your access at any time in case of suspected fraud, unlawfully obtaining a benefit or advantage, or breach of any condition of these Terms of Use, the Privacy Policy or applicable law. In such cases no compensation will be due, and the Platform may bring the appropriate recourse action and take the other measures necessary to protect its interests.

5.1. Ways to move the balance. The balance can be moved in three ways, each with its own record in the statement: (a) exchange or redemption at a store registered on the Platform or in the Wibx Hub ecosystem; (b) gift to another registered USER, within the per-period limits published on the Platform; (c) sending Wibx to an external address owned by the USER, delivered by WibxCo. in its own name, subject to KYC and published limits.

5.2. Processing fee. A processing fee of 3.5% (three point five percent) of the amount moved applies to each movement processed under (a), (b) and (c), withheld in Wibx, as remuneration for the Platform’s recording and processing service.

5.3. Closure. If the USER chooses to cancel their registration and, consequently, their Wibx Account, it must have a zero balance. If there is a balance, the USER must exchange it or gift it before the cancellation is completed.

5.4. Once the registration and the Wibx Account are cancelled, the USER will no longer have access to information on past movements, and their relationship with the Platform ends.

5.5. Unusual movements. If the Platform detects unusual movements that raise suspicion of unlawful activity, it reserves the right to suspend the registration and the Wibx Account, keeping it inoperative until the facts are investigated. If it cannot investigate on its own, the Platform will refer the matter to the competent authorities.

5.6. Finality. Confirmed movements are final. The Platform may reverse or block movements in case of fraud, proven operational error or legal order, with a record in the statement, and return Wibx when the right of withdrawal under the Brazilian Consumer Protection Code is exercised.

7.1. Intellectual property. All rights, titles and interests (including copyright, trademark and other intellectual property rights) in the service made available remain owned by WibxCo.

7.2. No acquisition of rights. The USER does not acquire any property right over the services and content of the Wibx Platform, except where expressly granted in these Terms of Use.

7.3. Use of content. It is forbidden to download our content to store it in a database and offer it to third parties, or to use it to create a database or derivative service without authorization. The prohibition covers the use of the content and intellectual property of the Wibx Platform, not the USER’s pursuit of economic activity.

9.1. Responsibility for use. You are solely responsible for your use of the Wibx Platform and must comply with these Terms of Use and applicable law.

9.2. Damages. The Wibx Platform, its parent company, affiliates, partners or employees will not be liable for direct or indirect damages resulting from access to, use of or inability to access or use the Platform, nor for the commercial relationship between USER and ADVERTISER, within the limits of applicable law.

9.3. Technological and operational risks. Like any digital infrastructure, the Platform is subject to temporary unavailability, technical failures, regulatory changes and changes in third-party integrations. The Platform adopts security, audit and risk mitigation practices, but does not guarantee uninterrupted operation. Connection interruptions, incomplete transmissions, network, hardware or software failures and incorrect information resulting from technical or human error will not be considered the Platform’s responsibility, within the limits of applicable law.

9.4. Loss of profits. Where permitted by law, the Wibx Platform and its suppliers or distributors will not be liable for loss of profits, loss of revenue, loss of data, financial losses or indirect, special, consequential, exemplary or punitive damages.

9.5. Maintenance. It is the USER’s responsibility to keep their device environment secure, with antivirus, firewall and equivalent tools, helping prevent electronic risks.

9.6. External links. The Wibx Platform may contain links to third-party sites and apps and integrated technologies. This does not mean the Wibx Platform endorses, verifies, guarantees or has any connection with those third parties, and it is not responsible for their content, accuracy, policies or practices. We recommend reading the terms of use and privacy policies of each third-party service.

9.7. Independent third parties. When the Wibx Platform facilitates your interaction with independent third-party providers, such as ADVERTISERS, this does not mean endorsement, verification, guarantee or recommendation. In those situations the Wibx Platform acts as a facilitator, not as supplier of the goods or services, which are provided directly by the third parties. The USER must read, review and accept the terms of use of the platforms that interface with the Wibx Platform.

11.1. Changes. These Terms of Use may be changed to reflect adjustments to the Platform. Every change will be communicated in advance through a prominent notice in the application. The earning and exchange rules of a campaign do not change after it is published. If you do not agree with the new Terms, you may reject them, which means you will no longer be able to access and use the Wibx Platform. Use of the Platform after the effective date means agreement with the changes.

11.2. Conflict between provisions. In case of conflict between these Terms and amending terms, the later terms prevail as to the conflict.

11.3. Law and venue. These Terms of Use are governed by the laws of the Federative Republic of Brazil. Questions and unforeseen situations will first be resolved by the Wibx Platform and, if they persist, by the Courts of the District of São José dos Campos, São Paulo, without prejudice to the venue of the consumer USER’s domicile.

12.2. To improve, personalize and protect the Wibx Platform (legitimate interest, art. 7, IX). Applies only to what happens inside the Wibx Platform and the other apps of the Wibx Hub ecosystem, respects your reasonable expectation, has a documented legitimate interest assessment and can be objected to in the privacy panel.

12.4. What the Wibx Platform does not do. It does not track what you do on third-party sites and apps. It does not buy your data from data brokers. It does not infer your location against your choice nor keep movement history. It does not read the content of your private messages to build a profile. It does not process drafts you have not published. It does not use sensitive data outside the cases of art. 11. It does not use your content to train artificial intelligence systems without a declared purpose and an option to refuse. It does not recognize visitors without an account by device fingerprinting. It does not sell personal data.

12.5. Minors. Registration of a teenager between the minimum age and 18 requires the guardian’s consent (art. 14). Minors’ data is not used for interest inference or partner brand offers, and a minor’s location is only processed during an active session, with no history.

12.6. Automated decisions. Confirmation of actions, crediting of rewards and fraud detection are automated. You have the right to request review of a decision that affects your interests (art. 20), through the support center, and to receive clear information about the criteria used, subject to commercial and industrial secrecy.

12.7. How you choose. Acceptance of these Terms and of the Privacy Policy is separate from all the consents in item 12.3. Each consent is requested in its own unticked option, with the benefit stated in one sentence, at the moment the feature is used. The privacy panel in your profile shows each purpose, the legal basis and the switch to turn on, turn off, object or revoke. Refusing or revoking a consent does not prevent use of the Wibx Platform; it only turns off the corresponding benefit.

12.8. Your rights and the Data Protection Officer. You may request, at any time, access, correction, anonymization, portability and deletion of your data, information about sharing and revocation of consents, through the support center or the Data Protection Officer (DPO) channel indicated in the Privacy Policy. The retention periods for each data category are in the Privacy Policy.
